END-USER AGREEMENT
FEDEX® CARRIER ADDENDUM
END-USER'S USE OF THE LICENSOR PRODUCT IS SUBJECT TO THE TERMS AND CONDITIONS
SET FORTH BELOW. BY CLICKING THE "I AGREE" BUTTON, YOU AGREE TO BE BOUND BY
ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE
TERMS AND CONDITIONS OF THIS AGREEMENT, CLICK THE "I DECLINE" BUTTON AND YOU MUST CEASE
ALL FURTHER USE OF THE FEDEX PORTION OF THE LICENSOR PRODUCT.
Installing
any FedEx Corporate Services, Inc. ("FedEx") portion of this product constitutes
a legal Agreement between you (either an individual or entity), the End-User,
and Harvey Software, Inc. (hereinafter referred to as "Harvey Software" or "Licensor")
for the Harvey Software product identified below, which includes computer software
and associated media and printed materials, and may include "online" or electronic
documentation ("Licensor Product").
By installing, copying or otherwise using the FedEx portion of this Licensor
Product, you agree to be bound by the terms of this Agreement. If you do not
agree to the terms of this Agreement, promptly discontinue use of this product.
1. License Grant. Licensor hereby grants to End-User, subject to the terms and
conditions of this Agreement, a limited, revocable, non-exclusive, non-assignable,
nontransferable, right and license to use, in the United States of America only,
the FedEx Licensed Application solely for its own internal business purposes
in order to gain access to the FedEx services.
2. FedEx Express License Restrictions. By installing any FedEx portion of this
Licensor Product you agree to follow all FedEx required labeling, shipping requirements,
terms and/or conditions.
3. FedEx Ground Support License Restrictions. By installing the FedEx Ground
portion of this Licensor Product you agree to follow all FedEx Ground required
labeling, shipping requirements, terms and/or conditions.
4. FedEx Ship Manager Server License Restrictions. By installing the FedEx Ship
Manager Server ("FedEx FXRS") portion of this Licensor Product you agree to
follow all FedEx required labeling, shipping requirements, terms and/or conditions.
You also agree to the following: (a) before using the FedEx FXRS portion of
this Licensor Product you will complete all required FedEx Customer Registration
information and receive a meter number by going to the FedEx web site; (b) you
agree to the terms of the FedEx End-User License Agreement found at the FedEx
Customer Registration site; (c) you will not use the FedEx FXRS portion of the
Licensor Product on any computer that has not been installed and approved for
use by Harvey Software; (d) at least one person at your business will be trained
by Harvey Software in the use of the FedEx FXRS portion of the Licensor Product;
(e) you will be responsible to see that the computer used in conjunction with
the FedEx FXRS portion of the Licensor Product is kept up to date by FedEx and/or
Harvey Software.
5.
FedEx Direct Method Restrictions. By using FedEx Direct Method portion of this
Licensor Product you agree to follow all FedEx required labeling, shipping requirements,
terms and/or conditions. You also agree to the following: (a) before using the
FedEx portion of this Licensor Product you will complete all required FedEx
Customer Registration information and receive a meter number; (b) you agree
to the terms of the FedEx End-User License Agreement found at the FedEx Customer
Registration site; (c) you will not use the FedEx portion of the Licensor Product
on any computer that has not been installed and approved for use by Harvey Software;
(d) at least one person at your business will be trained in the use of the FedEx
Direct Method portion of the Licensor Product; (e) you will be responsible to
see that the computer used in conjunction with the FedEx Direct Method portion
of the Licensor Product is kept up to date by Harvey Software.
6. Disclaimer of Harvey Software Liability of FedEx Licensed Materials. For
Harvey Software to meet carrier requirements certain portions of this Licensor
Product must incorporate FedEx Licensed Materials. Even though Harvey Software
makes every effort to see that FedEx provided software works properly, there
are no guarantees expressed or implied that FedEx Licensed Material will work
as stated by FedEx and/or Harvey Software. Harvey Software disclaims all warranties
or liabilities, either expressed or implied, including, but not limited to,
implied warranties of merchantability and fitness for a particular purpose,
with regard to the FedEx Licensed Materials.
7. Termination. End-User acknowledges and agrees this Agreement may be terminated
by Licensor for any reason or no reason upon thirty (30) days prior written
notice. All sections of this agreement shall survive termination or expiration
of this Agreement.
8. Compliance with Laws. End-User agrees to comply with all United States and
other applicable laws, rules and regulations relating to this Agreement.
(At the time of installing this carrier option the user is required to enter
"YES" that they agree or "NO" that they do not agree to this agreement. If they
select "NO", they will not be able to use that carrier service.)
